1. Acceptance of These Terms

Your access to or use of the Site constitutes your acceptance of these Terms and of our Privacy Policy, available at straitcore.com/privacy/, which is incorporated here by reference. Our Cookie Policy (straitcore.com/cookies/) and our Data Protection notice (straitcore.com/gdpr/) are published alongside it and form part of the same set of notices. Acceptance occurs on access; no registration, click-through, or signature is required or offered.

These Terms form the entire agreement between you and STRAITCORE with respect to the Site itself. They do not replace, amend, or override any separate written agreement you may have with STRAITCORE, including any agreement covering our products or services.

If you are accessing the Site on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity.

2. Purpose of the Site: Information Only

The Site exists to describe STRAITCORE, our work, and the products we develop. Everything published on it is provided for general informational purposes only.

No content on the Site constitutes a binding offer, a quotation, a commitment to supply, a warranty of performance, or professional advice of any kind. Descriptions of our company, our products, and the features and capabilities of those products are illustrative, may be simplified for presentation, and are subject to change without notice.

A commercial relationship with STRAITCORE arises only through a separate written agreement, or through the terms of service accepted directly on the relevant product's own website. Nothing on this Site creates such a relationship on its own.

• The Site does not process orders, subscriptions, or payments.
• The Site does not offer accounts, logins, or user profiles.
• The Site contains no forms; the only contact mechanism is a mailto: link to our published email address.
• Content may be updated, corrected, or removed at any time without prior notice.

3. Intellectual Property

The Site and its contents are owned by STRAITCORE or licensed to us, and are protected by Turkish and international intellectual property law, including Law No. 5846 on Intellectual and Artistic Works and Industrial Property Law No. 6769.

Protected material includes, without limitation, the STRAITCORE name and logo; the names, logos, and visual identities of Adspotz, Horecas, TripaWise, and OtOrder; all text, headings, and written copy; the layout, design, structure, and styling of the Site; product screenshots, illustrations, and imagery; and the icons and other assets we created and serve from our servers.

Open-source components used on the Site, including the Manrope typeface, remain subject to their own licences, and nothing in these Terms restricts any right those licences grant you.

No licence, right, or title in any of the material owned by or licensed to us is transferred to you by these Terms or by your use of the Site. All rights not expressly granted are reserved.

Third-party trademarks that may appear on the Site remain the property of their respective owners and are used, where they appear, for identification purposes only.

4. Permitted and Prohibited Use

You may view the Site, and you may reproduce or print reasonable extracts for your own internal, non-commercial reference, provided you do not alter the material and you preserve all proprietary notices. You may link to the Site from another website, provided the link is fair, lawful, and does not suggest an association, endorsement, or approval that does not exist.

The following are prohibited without our prior written permission:

• Automated collection of Site content, including scraping, crawling, harvesting, spidering, or systematic downloading, other than indexing by publicly operated search engines for the purpose of making the Site findable.
• Republishing, redistributing, licensing, or commercially exploiting any part of the Site, including its text, design, or images.
• Copying, imitating, or adapting the design, layout, or source code of the Site for another website or product.
• Reverse engineering, decompiling, or attempting to derive the source of any component made available through the Site, except where such restriction is prohibited by applicable law.
• Any action that imposes an unreasonable or disproportionate load on our infrastructure, including denial-of-service attempts, flooding, or excessive automated requests.
• Probing, scanning, or testing the vulnerability of the Site or any connected system, or circumventing any security or access control measure.
• Using the STRAITCORE name, logo, or product branding in a way likely to cause confusion, imply partnership or endorsement, or otherwise constitute trademark infringement or passing off.
• Framing, mirroring, or presenting the Site so as to obscure its origin, or introducing malware or any other harmful code.

5. Third-Party Links

The Site links to external destinations, including the websites of our products (adspotz.com, horecas.com, tripawise.com, otorder.com) and our profiles on LinkedIn and Instagram.

Those destinations are operated under their own terms and privacy notices. Once you follow a link away from the straitcore.com root address, these Terms no longer govern your activity, and the practices of the destination apply instead.

We do not control third-party sites and accept no responsibility for their content, availability, security, or data handling. The presence of a link is not an endorsement of any third-party site beyond our own products.

6. Reporting Unlawful or Infringing Content

If you believe that any material published on the Site infringes your rights, is unlawful, or is factually incorrect, please write to hello@straitcore.com. To allow us to act, your notice should identify the exact address (URL) of the page, the specific material complained of, the right or legal ground you rely on, and how we can reach you.

We review every notice we receive and, where the complaint is justified, we correct or remove the material. Because the Site is static and informational, correction is usually a matter of republishing the page.

This procedure is offered in addition to, and does not restrict, any remedy available to you under Law No. 5651 on the Regulation of Publications on the Internet and Combating Crimes Committed by Means of Such Publications, under Law No. 5846 on Intellectual and Artistic Works, or under any other applicable law.

7. Disclaimer of Warranties

The Site is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, to the fullest extent permitted by applicable law.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of harmful components. We disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and completeness.

While we take reasonable care in preparing the content of the Site, we make no representation that it is accurate, complete, or current at any given moment. You should not rely on Site content as the sole basis for any decision.

Nothing in this section limits any warranty or right that cannot lawfully be excluded under Turkish law, including mandatory consumer protection provisions where they apply.

8. Limitation of Liability

To the fullest extent permitted by applicable law, STRAITCORE, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, revenue, business, goodwill, data, or anticipated savings, arising out of or in connection with your access to or use of, or inability to use, the Site.

This includes, without limitation, losses arising from reliance on Site content, from the unavailability or interruption of the Site, from any error or omission in the material published, or from any virus or harmful component transmitted through the Site or any linked third-party site.

Where liability cannot lawfully be excluded, our aggregate liability arising out of or relating to the Site is limited to the amount you have paid us for access to the Site, which is zero, as the Site is provided free of charge.

Nothing in these Terms excludes or limits liability for death or personal injury, for fraud or fraudulent misrepresentation, or for damage caused by our intent (kast) or gross fault (ağır kusur) — any advance exclusion of which is void under Article 115 of the Turkish Code of Obligations (Law No. 6098) — nor any other liability that cannot lawfully be excluded or limited under Turkish law.

9. Products and Services Are Governed Separately

STRAITCORE develops and operates products that run on their own domains, and in some cases on subdomains of straitcore.com. Those products, and not this Site, are where accounts are created, subscriptions are purchased, payments are processed, and customer data is handled.

These Terms apply only to the straitcore.com root address. They do not govern the use of any product — whether published on its own domain or on a subdomain of straitcore.com — and they grant no rights in respect of any product. Each product publishes its own legal documents, at a minimum a privacy notice and terms of service, which you must review and accept on that product's own site.

Where a separate written agreement or product-specific terms exist between you and STRAITCORE, those terms prevail over these Terms in respect of the subject matter they cover.

10. Indemnity

You agree to indemnify, defend, and hold harmless STRAITCORE, its directors, employees, and agents from and against any claim, demand, proceeding, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your unlawful or unauthorised use of the Site, or your infringement of any intellectual property or other right of STRAITCORE or of any third party.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defence.

11. Changes to the Site and to These Terms

We may modify, suspend, or discontinue the Site or any part of it at any time, without notice and without liability to you.

We may also revise these Terms from time to time, for example to reflect changes in our activities or in applicable law. The version published on this page is the version in force. Your continued use of the Site after a revision is published constitutes acceptance of the revised Terms. Every revision is published together with an updated "Last updated" date shown with our contact details below, so that you can see when this page last changed.

We recommend reviewing this page periodically. Because the Site does not collect contact details or maintain accounts, we have no means of notifying you individually of changes.

12. Governing Law, Jurisdiction and Contact

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Republic of Türkiye.

The courts and enforcement offices of İstanbul (Çağlayan) shall have jurisdiction over any dispute arising out of or relating to these Terms or the Site. Where you are a merchant or a public legal person, this paragraph constitutes a jurisdiction agreement within the meaning of Article 17 of the Turkish Code of Civil Procedure (Law No. 6100). In all other cases it applies without prejudice to any court that has jurisdiction under the general rules of law, including any mandatory forum available to consumers.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of it.
